These User Terms and Conditions ("Terms") govern your access to and use of Wappilo's WhatsApp Business API platform and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. 1. Acceptance of Terms By creating an account, accessing, or using Wappilo's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies referenced herein. If you do not agree to these Terms, you must not use our Services. 2. Definitions "Wappilo," "we," "us," or "our" refers to Wappilo and its affiliates. "User," "you," or "your" refers to any individual or entity accessing or using our Services. "Platform" refers to Wappilo's web-based and mobile applications, APIs, and related infrastructure. "WhatsApp Business API" refers to Meta's WhatsApp Business API services, for which Wappilo serves as an official Meta Technology Provider. "Content" refers to any text, images, videos, data, or other materials transmitted through our Services. 3. Eligibility You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that: You are of legal age and have the authority to enter into these Terms You will comply with all applicable laws and regulations All information you provide is accurate, current, and complete You will maintain the accuracy of such information 4. Account Registration and Security 4.1 Account Creation To access certain features of our Services, you must create an account. You agree to: Provide accurate, current, and complete information during registration Maintain and promptly update your account information Keep your password secure and confidential Notify us immediately of any unauthorized access or security breach Accept responsibility for all activities under your account 4.2 Account Restrictions You may not: Create multiple accounts for fraudulent purposes Share your account credentials with third parties Use another person's account without permission Transfer or sell your account to another party 4.3 Account Termination We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine to be harmful to our Services or other users. 5. Use of Services 5.1 License Grant Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for lawful business purposes. 5.2 Prohibited Uses You agree not to: Violate any applicable laws, regulations, or third-party rights Use our Services for fraudulent, abusive, or illegal purposes Send spam, unsolicited messages, or engage in phishing Transmit malware, viruses, or harmful code Interfere with or disrupt our Services or servers Attempt to gain unauthorized access to our systems Reverse engineer, decompile, or disassemble any part of our Services Use automated systems (bots, scrapers) without written permission Impersonate any person or entity Collect or harvest user information without consent Use our Services to compete with us or develop similar products 5.3 Compliance with Meta Policies As an official Meta Technology Provider, you must comply with: Meta's WhatsApp Business Policy Meta's Platform Terms Meta's Business Terms WhatsApp Business API Terms All applicable data protection and privacy laws Failure to comply with Meta's policies may result in immediate suspension of your account. 6. WhatsApp Business API Compliance 6.1 Message Templates All message templates must be approved by Meta before use. You are responsible for: Submitting accurate, compliant message templates Not using templates for prohibited categories (e.g., illegal products, adult content) Maintaining high-quality scores to avoid rate limiting 6.2 Opt-In Requirements You must obtain explicit opt-in consent from users before: Sending marketing messages Adding users to broadcast lists Initiating conversations for promotional purposes 6.3 Opt-Out Compliance You must: Honor opt-out requests immediately Provide clear opt-out mechanisms in messages Maintain opt-out records for compliance purposes 6.4 Quality Standards You must maintain high message quality standards. Meta may restrict or suspend your access if: Your quality rating falls below acceptable levels You receive excessive user blocks or reports You violate WhatsApp's messaging policies 7. Content and Data 7.1 Your Content You retain ownership of all Content you submit through our Services. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and transmit your Content solely to provide and improve our Services. 7.2 User Data Protection You are responsible for: Complying with all applicable data protection laws (GDPR, CCPA, etc.) Obtaining necessary consents for data collection and processing Maintaining appropriate security measures for user data Promptly responding to user data requests (access, deletion, etc.) 7.3 Data Processing We process user data as a data processor on your behalf. Our data processing practices are detailed in our Data Processing Agreement (DPA) and Privacy Policy. 7.4 Prohibited Content You may not transmit Content that: Infringes intellectual property rights Contains hate speech, violence, or harassment Promotes illegal activities or controlled substances Involves child exploitation or abuse Contains malware or malicious code Violates any applicable laws or regulations 8. Payment Terms 8.1 Pricing Pricing for our Services is available at wappilo.com/pricing and may be updated from time to time. You agree to pay all fees associated with your selected plan. 8.2 Payment Methods We accept payments through authorized payment gateways. You authorize us to charge your designated payment method for: Subscription fees Usage-based charges Additional services or features 8.3 Billing Cycle Unless otherwise specified, subscriptions are billed monthly or annually in advance. You are responsible for maintaining current payment information. 8.4 Refunds Subscription fees are generally non-refundable except as required by law or explicitly stated in our refund policy. We may provide refunds at our sole discretion. 8.5 Late Payments Failure to pay may result in: Service suspension or termination Late fees or interest charges Collection efforts and associated costs 8.6 Taxes You are responsible for all applicable taxes, duties, and governmental assessments. Fees quoted do not include taxes unless explicitly stated. 9. Intellectual Property Rights 9.1 Our Intellectual Property All rights, title, and interest in our Services, including software, trademarks, logos, and proprietary technology, belong to Wappilo or our licensors. These Terms do not grant you any rights to our intellectual property except as expressly stated. 9.2 Trademarks You may not use our trademarks, logos, or brand elements without prior written permission. 9.3 Feedback If you provide feedback or suggestions about our Services, we may use them without compensation or obligation to you. 10. Third-Party Services and Integrations 10.1 Third-Party Platforms Our Services may integrate with third-party platforms (CRMs, e-commerce systems, etc.). Your use of third-party services is subject to their respective terms and policies. 10.2 No Endorsement We do not endorse or assume responsibility for third-party services, content, or practices. 10.3 Meta Relationship Wappilo is an official Meta Technology Provider but operates independently. Meta is not responsible for Wappilo's Services or any issues arising from your use of our platform. 11. Service Availability and Support 11.1 Service Level We strive to maintain 99.9% uptime but do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated in advance when possible. 11.2 Support Support is provided based on your subscription plan. Response times and support channels vary by plan level. 11.3 Service Modifications We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice. 12. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW: 12.1 Disclaimer of Warranties OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 12.2 Limitation of Damages WAPPILO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES. 12.3 Maximum Liability OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. 12.4 Exceptions Some jurisdictions do not allow limitations on warranties or liability. In such cases, these limitations may not apply to you. 13. Indemnification You agree to indemnify, defend, and hold harmless Wappilo, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: Your use of our Services Your violation of these Terms Your violation of any laws or third-party rights Your Content or data transmitted through our Services Your violation of Meta's policies or WhatsApp Business API terms 14. Privacy and Data Protection Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. 15. Modifications to Terms We may modify these Terms at any time by posting updated Terms on our website. Material changes will be notified via email or through our Services. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms. 16. Term and Termination 16.1 Term These Terms commence when you first access our Services and continue until terminated. 16.2 Termination by You You may terminate your account at any time through your account settings or by contacting support@wappilo.com. 16.3 Termination by Us We may suspend or terminate your access immediately if you: Breach these Terms Violate Meta's policies Engage in fraudulent or illegal activities Pose a security risk to our Services or users 16.4 Effect of Termination Upon termination: Your right to access our Services ceases immediately You remain liable for all outstanding fees We may delete your account and data per our data retention policy Provisions that by nature should survive will remain in effect 17. Dispute Resolution 17.1 Governing Law These Terms are governed by the laws of Hyderabad, Telangana, India, without regard to conflict of law principles. 17.2 Dispute Resolution Process Before initiating any legal proceeding, you agree to: Contact us at support@wappilo.com to attempt informal resolution Provide a detailed description of the dispute Allow 30 days for good-faith negotiation 17.3 Arbitration If informal resolution fails, disputes shall be resolved through binding arbitration rather than in court, except where prohibited by law. 17.4 Class Action Waiver You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration. 17.5 Jurisdiction For disputes not subject to arbitration, you consent to the exclusive jurisdiction of courts in Hyderabad, Telangana, India. 18. General Provisions 18.1 Entire Agreement These Terms, together with our Privacy Policy and any referenced policies, constitute the entire agreement between you and Wappilo. 18.2 Severability If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect. 18.3 No Waiver Our failure to enforce any provision does not waive our right to enforce it later. 18.4 Assignment You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction. 18.5 Force Majeure We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, telecommunications failures, or other force majeure events. 18.6 Notices Notices to you may be sent to your registered email address. Notices to us should be sent to support@wappilo.com. 18.7 Relationship Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Wappilo. 19.
